Scope of Application
These general terms and conditions apply to services agreed between the company Legal Services and its clients via the Minassati platform. They cover both one-time services (company formation, company modification, trademark filing) and access to tools and services available by subscription on the platform.
1. Definition of Services
The services offered by Minassati are divided into two categories:
- One-time services, paid in a single installment, include online company formation, online company modification, and trademark filing. The content and scope of each service are detailed on the platform at the time of order.
- Subscription services providing access to additional tools and features available on the Minassati platform. The content of each subscription plan is described on the platform.
Any additional service outside the initial scope must be communicated to the client in advance so that they can provide their consent.
2. Duration
One-time services take effect from the validation of the order and full payment and end upon completion of the agreed service.
Subscriptions are taken for a period of one month or one year depending on the plan chosen by the client. They are renewable automatically unless terminated by the client through their account or by written notice at least fifteen (15) days before the end of the current period.
In the event of a significant failure by the client to meet their obligations, Legal Services may suspend or terminate services after written notice has remained without effect.
3. Obligations of Legal Services
Legal Services performs the entrusted services in accordance with Moroccan law and applicable legal provisions.
Legal Services may be assisted by collaborators and partners of its choice.
- Compliance with professional secrecy in accordance with Article 446 of the Moroccan Penal Code.
- Obligation of confidentiality regarding collected information and prepared documents.
4. Obligations of the Client
The client agrees to provide accurate, complete, and up-to-date information necessary for proper service execution within the required deadlines.
In case of failure to meet obligations, Legal Services cannot be held responsible for delays, penalties, or damages incurred by the client with the relevant authorities.
The client agrees to pay the amounts due according to the agreed terms. In case of non-payment, Legal Services may suspend access to services and terminate the service.
5. Professional Secrecy
Legal Services is bound by professional secrecy in accordance with Article 446 of the Moroccan Penal Code and has a strict obligation of confidentiality.
The client authorizes Legal Services to liaise with authorities and third-party organizations to obtain the information necessary for service execution.
6. Fees and Payment Terms
One-time services (company formation, company modification, trademark filing) are paid in full at the time of the order. The price is that displayed on the Minassati platform on the day the order is validated.
Subscriptions are paid according to the chosen period (monthly or annual). By subscribing, the client authorizes automatic recurring debit of the registered payment method until cancellation.
No discount is granted for early payment.
7. Validity of General Terms
These general terms and conditions apply to all services and subscriptions on the Minassati platform, subject to the client’s express acceptance at the time of order or subscription.
8. Cancellation, Refunds, and Withdrawal Period
8.1 Cancellation
The client may cancel a one-time service by written notice or from their account, as long as the service has not started. Costs incurred up to the cancellation date remain payable.
The client may terminate their subscription at any time from their account. Termination takes effect at the end of the current period already paid.
8.2 Refund
For one-time services, if canceled before execution starts, the client is fully refunded. If execution has begun, the refund is prorated for uncompleted services, minus incurred costs.
For subscriptions, no refund is due for the current period. Access to services remains active until the end of the period already paid.
8.3 Withdrawal Period
The client has a fourteen (14) day withdrawal period from the date of online subscription, in accordance with current Moroccan law. This right does not apply to services whose execution has started with the client’s agreement before this period expires.
9. Online Payments
Legal Services offers secure online payment services through authorized providers, including the Payzone platform.
Service payments and subscription registrations are made electronically directly on the Minassati platform.
Legal Services does not retain sensitive banking data, which is securely processed by the payment provider.
In case of rejected or failed payment, access to all or part of the services may be suspended until regularization.
10. Personal Data Protection
Legal Services commits to protecting clients’ personal data in accordance with Law No. 09-08 on the protection of individuals regarding the processing of personal data.
Collected data is used exclusively for service execution and client relationship management. The client has the right to access, rectify, and delete their personal data.
11. Intellectual Property
Documents, templates, tools, and content provided on the Minassati platform remain the exclusive property of Legal Services. Any reproduction, distribution, or use outside the scope of subscribed services is prohibited without prior written authorization.
12. Liability
Legal Services’ liability is limited to the amount received for the concerned service. Legal Services cannot be held responsible for indirect damages, data loss, or harm resulting from a platform service interruption.
13. Governing Law and Jurisdiction
These general terms and conditions are governed by Moroccan law. Any dispute relating to their interpretation or execution shall be subject to the exclusive jurisdiction of the courts of Casablanca.
